Special Resolution

Notice of Special Resolution approving the repeal and replacement of the bylaws of the Association

New Bylaws

The YMCA Calgary of today looks very different from when it was established in 1905. While our commitment to serving the community remains, the scale and complexity of our operations have evolved, and notably in recent years. Within a broad-reaching portfolio, YMCA Calgary operates two of the largest YMCAs in the world, oversees 627 child care spaces, and stewards a thousand acres of land west of Calgary in Kananaskis Country that hosts more than 12,000 campers annually.

To better reflect the increased reach and impact of the YMCA today, we have been modernizing our systems and processes – and our guiding documents.

In April 2022, we successfully presented a bill amendment in the Alberta legislature to update our constitution to better reflect our impact in a modern context. This is the first update to our constitution since the original act in 1908. Continuing this modernization process, we have diligently reviewed and updated our bylaws to ensure alignment with the updated constitution and to meet the governance best practices of today.

The changes include:

  • Greater clarity on officer authorities
  • Updates on director term limits
  • The use of technology and email for meetings and approvals.

We are also changing the definitions and categories of membership as it relates to voting at the Annual General Meeting. The Association will have two member categories: Association Members and Participant Members.

Association Members are open to individuals over the age of 18, who have donated at least $100 to the Association in each of the previous two full calendar years or performed a minimum of 48 hours of volunteer service for the Association in each of the previous two full calendar years. This includes the board of director so long as the individual remains a director. Association Members have the right to attend and vote at all general meetings of members of the association.

Participant Members are classified as individuals and organizations who participate in any activity or function of the Association or are registered in any program operated by the Association. Participant Members may be invited to attend certain general meetings; however, they are not entitled to vote.

This process is the result of good governance, and the changes proposed align YMCA Calgary with other YMCAs across the country that have also recently updated their bylaws.
